Warranty & Indemnity Insurance

Known as Representations and Warranties Insurance in the United States and Canada, W&I Insurance is an established transaction-risk solution used in mergers and acquisitions. It can protect a buyer or seller against financial loss arising from breaches of warranties and representations contained in a sale and purchase agreement.

Buyer-side protection

Compensates the buyer for covered losses resulting from a seller's breach of insured warranties, providing an additional source of recovery and reducing reliance on the seller's future financial capacity.

Seller-side protection

Protects the seller against certain claims made by the buyer for breaches of covered warranties, supporting a cleaner exit.
